This Distance Sales Agreement (the “Agreement”) governs the rights and obligations of the seller identified below and the dealers, companies, businesses, or other commercial customers (the “Buyer”) placing orders through https://printeyes.com.tr for purchases made in the course of their trade, business, or professional activities.
Before completing an order, the Buyer must review this Agreement, the product information, the order total, delivery details, and payment terms. Electronic confirmation of an order indicates acceptance of the terms of this Agreement for that order.
1.1. Seller
1.2. Buyer
The Buyer is a sole trader, legal entity, or other business that places an order through the Website and whose dealer account has been approved or which has otherwise been accepted by the Seller as a commercial customer. The Buyer's legal or trading name, tax details, billing address, delivery address, and contact details are recorded in the relevant account and order records.
1.3. The Buyer represents that the person placing an order is authorised to represent the relevant business or place orders on its behalf. The Buyer is responsible for the accuracy of the representation and authorisation information it provides.
This Agreement sets out the terms governing the sale, ordering, payment, dispatch, delivery, and post-sale commercial processes for toner cartridges, drum units, plotter inks, printer consumables, spare parts, and other products offered by the Seller through the PrintEyes Website.
PrintEyes primarily operates a wholesale sales model serving dealers and commercial customers. Access to prices and the ability to place orders may depend on account approval, product availability, and compliance with the commercial terms established by the Seller.
The Buyer represents that the products are being purchased for its commercial or professional activities. The actual nature of the transaction and the circumstances of the parties determine which legal rules apply. No provision of this Agreement shall be interpreted as removing rights that must apply under mandatory law in the circumstances concerned.
4.1. Access to prices or ordering functionality may be subject to review of the dealer application and the required commercial information. The Seller may reject an application or request additional information for reasonable reasons, including commercial assessment, product suitability, account security, and operational capacity.
4.2. The Buyer confirms that its legal or trading name, tax identification details, billing address, delivery address, telephone number, and email address are accurate, current, and complete. The Buyer must update its account details without undue delay when any information changes.
4.3. The Buyer must protect its username and password, prevent unauthorised access, and ensure that the account is used only by authorised persons. The Buyer must notify the Seller promptly if unauthorised use is suspected.
4.4. If the Buyer provides false, misleading, or third-party information, compromises account security, or uses the Website unlawfully, the Seller reserves the right to investigate and take appropriate measures according to the nature of the risk, including temporarily restricting or suspending the account.
5.1. Product names, product codes, images, descriptions, technical specifications, compatibility information, sales units, minimum order quantities, and other applicable conditions are displayed on the Website or during the ordering process.
5.2. Compatibility is important for printer consumables and spare parts. Before ordering, the Buyer must check the product code, the model of the device for which the product is intended, and the published compatibility information. Unless the Seller has separately provided a written compatibility commitment, issues resulting from incomplete or incorrect model information supplied by the Buyer will be assessed under the applicable return and liability provisions.
5.3. Product images may be provided for illustrative purposes. Differences in colour, packaging, labelling, production batch, or supply conditions may occur where they do not change the essential nature or ordered product code. If a difference affects an essential product characteristic, the Seller will act in accordance with applicable law and the parties' agreement.
5.4. The display of a product on the Website does not necessarily mean that it is in stock or that an order has been finally accepted. Stock and supply availability may be verified during order processing. If an order cannot be fulfilled, the Seller will notify the Buyer and take the necessary steps, including refunding collected amounts where applicable.
6.1. Before placing an order, the Buyer must review the products, quantities, unit prices, taxes, any shipping fee, the total amount, delivery address, and selected payment method.
6.2. Submission of an order electronically constitutes a purchase request. Acceptance depends on the Website's process, the Seller's confirmation, payment status, stock checks, and the commercial terms agreed between the parties.
6.3. An automated email or on-screen notification confirming receipt of an order indicates only that the order has reached the system, unless it expressly states otherwise. The Seller's acceptance notification or a transaction record clearly indicating acceptance will determine whether the order has been accepted.
6.4. If the Seller identifies an obvious typographical error, manifest pricing error, stock discrepancy, technical system error, payment issue, or circumstance that legally or practically prevents fulfilment, it may contact the Buyer before processing the order. If an order has already been accepted, any subsequent issue will be resolved by agreement between the parties and in accordance with applicable law.
6.5. Order and agreement records may be stored electronically to the extent permitted by applicable law. The Buyer should retain order numbers and related correspondence for its own commercial records.
7.1. The prices applicable to the Buyer are those displayed in the approved dealer account or during the ordering process. Prices may vary according to the product, quantity, dealer terms, promotions, payment method, and any special commercial agreement.
7.2. Whether taxes are included in the displayed price will be stated on the order screen or in the relevant price information. Before confirming an order, the Buyer must check the total amount, including VAT and other applicable taxes.
7.3. Shipping fees and any other delivery or order-related charges will be shown during the ordering process. After the Buyer confirms an order, an additional charge that was not previously disclosed may only be collected where permitted by applicable law and a valid agreement between the parties.
7.4. The Seller may update prices for future orders. Unless otherwise agreed, a price change published on the Website after an order has been accepted does not, by itself, change the price of that accepted order.
8.1. Payment must be made using a method offered during the ordering process and selected by the Buyer. Depending on the order, available options may include bank transfer/EFT, online card payment where enabled, and the current-account payment option separately approved by the Seller.
8.2. When paying by bank transfer or EFT, the Buyer should include the order number in the payment reference where possible. Payment will be processed once it appears in the Seller's bank records and has been matched to the relevant order. Payments with missing references or payments that cannot be matched may be held pending verification.
8.3. Online card payments are subject to the security and transaction rules of the relevant payment service provider. If payment is not authorised, is declined, or requires further verification, order preparation or dispatch may be delayed.
8.4. The “Pay on Account” option is available only to Buyer accounts approved by the Seller for this facility. The current-account limit, payment term, collection schedule, and other conditions are determined individually for each Buyer. The Buyer must pay amounts recorded to its current account according to the agreed due dates and terms.
8.5. If payments are overdue, the credit limit is exceeded, or payment risk increases, the Seller may restrict or suspend new orders using the current-account facility. This does not remove the Buyer's obligation to pay outstanding amounts. Current-account statements and transaction records may be used for reconciliation; in the event of a specific dispute, the relevant documents will be assessed together.
9.1. An order summary, order-received notification, or pro forma document does not, by itself, constitute an official tax invoice. The official e-Invoice or e-Archive Invoice for a sale will be issued through the Seller's accounting processes in accordance with applicable law and the status of the Buyer's invoicing information.
9.2. The Buyer must provide the correct billing name, tax office, tax identification number, and billing address when placing an order. If corrections are required because information is missing or incorrect, the parties will follow the applicable tax-document procedures.
9.3. The Seller may retain order, payment, dispatch, and invoice records in accordance with applicable statutory retention periods and commercial obligations.
10.1. Products will be sent to the delivery address provided by the Buyer and accepted by the Seller. The Buyer must ensure that the address is clear, accurate, and suitable for delivery.
10.2. For shipments within Türkiye, the Seller may use its contracted courier or transport services unless otherwise stated during the ordering process. The carrier may be changed for operational reasons. A specific delivery period is not guaranteed unless expressly committed for the relevant order.
10.3. Under the general shipping terms, orders of TRY 2,500.00 or more qualify for free shipping, while a standard shipping fee of TRY 250.00 applies to orders below that amount. If a different promotion, special delivery condition, or fee is expressly displayed during checkout, the terms displayed for that order will apply. Tax treatment and the total payable amount are determined according to the explanations shown during checkout.
10.4. The Buyer or authorised recipient should inspect the external condition of the package upon delivery. If visible damage, crushing, tearing, opening, or similar issues are identified, an appropriate damage record should be made with the carrier and the Seller should be notified without undue delay. This procedure does not, by itself, waive any rights available to the Buyer under law or contract.
10.5. Delays or additional costs caused by an incorrect address supplied by the Buyer, failure to provide necessary access, or the absence of an authorised recipient will be assessed according to the circumstances and applicable law.
10.6. Delivery may be affected by force majeure, carrier disruption, natural disasters, official decisions, widespread infrastructure outages, or other events beyond the parties' reasonable control. The affected party will notify the other party where reasonably possible and take reasonable steps to mitigate the consequences.
11.1. Within a reasonable period after delivery, the Buyer should compare the products received against the order details and check the quantity, product codes, visible damage, and any obvious incorrect delivery.
11.2. If there is a missing item, incorrect product, transit damage, or an allegation that a product does not conform to the agreed specifications, the Buyer should contact the Seller with the order number, product details, a description of the issue, and available photographs or other supporting documents.
11.3. The Seller will review the notification and available documentation and may request additional information, product inspection, or carrier records where necessary. Depending on the nature of the issue, replacement, delivery of missing items, a refund, a price reduction, or another remedy permitted by applicable law and the parties' agreement may be considered.
11.4. Unauthorised intervention, improper storage, misuse, use with an incompatible device, or damage caused by conditions contrary to ordinary use may be considered during the review. However, this provision does not remove any legal rights that may apply where a defect attributable to the Seller exists.
12.1. Order cancellations, product returns, and refunds will be handled in accordance with the Cancellation and Returns Policy published on the PrintEyes Website and the law applicable to the relevant order.
12.2. If the Buyer requests cancellation before preparation or dispatch has begun, the Seller may process the request after reviewing the order status. If the order has already been prepared, dispatched, or placed into a special procurement process, the applicable outcome will depend on the circumstances and the parties' agreement.
12.3. In B2B commercial transactions, a return option does not automatically mean that the consumer-specific right of withdrawal applies in the same way. Return requests will be assessed with regard to the condition of the product, the order terms, the Seller's published returns policy, and mandatory law. Rights relating to defective goods or non-conformity remain separately reserved.
12.4. If a refund is approved following cancellation or return, it will, where reasonably possible, be made using the original payment method. Processing times imposed by banks, card schemes, or payment service providers may be outside the Seller's direct control. For current-account transactions, a credit entry, set-off, or other accounting treatment may be applied as agreed by the parties.
13.1. The Buyer must use, store, and resell products in accordance with applicable law, product instructions, and the duty of care required by its commercial activities.
13.2. The Buyer may not unlawfully use the Seller's trademarks, product images, catalogues, or other intellectual property without the Seller's written permission or another applicable legal basis.
13.3. The Buyer may not use the Website or dealer account for unlawful activities, misleading transactions, unauthorised access, attempts to compromise system security, or actions that infringe the rights of other users.
14.1. The Seller processes the business and account information necessary to receive and fulfil orders, manage payment and accounting processes, arrange delivery, maintain customer relationships, ensure security, and comply with legal obligations.
14.2. Further information about personal data processing, including the identity of the data controller, processing purposes, legal grounds, transfers, and data-subject rights, is provided in the Privacy, Security and KVKK Policy. That policy should be read together with this Agreement.
14.3. Essential notifications relating to orders and services may be sent through the contact channels provided by the Buyer. Commercial electronic messages will be sent in accordance with applicable law and any required consent.
15.1. The parties shall perform their obligations under this Agreement in accordance with good faith, applicable law, and the agreed commercial terms.
15.2. To the extent permitted by applicable law, neither party shall be liable where an event beyond its reasonable control, which could not have been prevented despite reasonable care, prevents performance of its obligations. A party relying on force majeure shall notify the other party as soon as reasonably practicable.
15.3. The Seller's liability will be assessed to the extent permitted by applicable law. Nothing in this Agreement excludes liability for intent, gross negligence, or any liability that cannot lawfully be limited, or removes rights that must be protected by law.
15.4. The parties will first attempt to resolve disputes arising from an order or this Agreement through communication and commercial reconciliation. If the dispute cannot be resolved, applicable Turkish law will apply, subject to mandatory rules governing jurisdiction and venue. Where a jurisdiction agreement is legally permitted, the Courts and Enforcement Directorates of Istanbul shall have jurisdiction.
15.5. In disputes between merchants, any mandatory pre-litigation requirements, including mandatory mediation where applicable, must be fulfilled.
16.1. This Agreement enters into force for the relevant order when it is electronically accepted or when the order is accepted between the parties. If a separate written agreement has also been made for the order, the relationship between the documents will be determined in accordance with the parties' agreement and applicable law.
16.2. The general terms on the Website may be updated for future orders. After an order has been accepted, the terms applicable to that accepted order may not be changed unilaterally, subject to a valid agreement between the parties and mandatory law.
16.3. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will not automatically become invalid. To the extent legally possible, the invalid provision will be interpreted or replaced by a lawful provision that most closely reflects the parties' commercial purpose.
16.4. The Buyer may send questions, notices, and requests relating to this Agreement to the Seller using the following contact details:
