Terms and Policies

These Terms and Policies govern the use of the website https://printeyes.com.tr, operated by Eko Kartuş ve Bilişim Sanayi Ticaret Limited Şirketi under the PrintEyes brand, including dealer membership, ordering procedures, sales conditions and the rights and obligations of the parties.

PrintEyes is a business-to-business (B2B) sales platform for the commercial purchase of printing consumables, toner cartridges, drum units, plotter inks, printer spare parts and related products. Product prices and purchasing functions are available through approved dealer accounts.

Article 1 – Parties and Seller Information

The company operating the website and selling the products covered by these Terms is:

  • Legal Entity: Eko Kartuş ve Bilişim Sanayi Ticaret Limited Şirketi
  • Brand: PrintEyes
  • Website: [email protected]
  • Address: Hürriyet, Sümbül Sk. No:10A, 34180 Bahçelievler/İstanbul, Türkiye
  • Tax Office: Bahçelievler V.D
  • Tax Identification Number: 3302908464
  • MERSIS Number: 0330290846400001
  • Telephone:  [email protected]
  • Email: +90 544 806 88 70

In these Terms, the company referred to as the company, seller or PrintEyes is Eko Kartuş ve Bilişim Sanayi Ticaret Limited Şirketi. The party referred to as the dealer, buyer or user is the business or merchant using the website or placing orders for commercial purposes.

Article 2 – Purpose, Scope and B2B Sales Model

The purpose of these Terms is to establish the rules governing use of the website and explain the general principles applicable to commercial transactions between the seller and approved dealers.

PrintEyes operates for businesses, companies, retailers, resellers and other eligible commercial buyers purchasing products in connection with their business activities. Product prices and purchasing functions may be accessed after a dealer account has been approved.

Creating a dealer account or accessing the website does not, by itself, guarantee the sale of any product, acceptance of an order or allocation of a particular credit limit. Each order is assessed according to product availability, payment conditions, dealer account status and the relevant commercial terms.

[LEGAL CHECK: The restriction of the website to commercial buyers and the exclusion of consumer transactions should be reviewed by legal counsel in light of the actual sales model and applicable legislation.]

Article 3 – Dealer Membership and Account Approval

Businesses wishing to view prices and place orders through the website must create a dealer account and complete the seller's approval process.

Commercial and contact information requested during registration must be accurate, complete and up to date. The seller may request information necessary to assess the business's identity, commercial activities and ability to conduct ordering transactions.

The seller may review dealer applications in accordance with its commercial assessment procedures and applicable law. Approval or rejection of an application, access to a dealer account and the functions available through that account depend on the outcome of the relevant assessment.

Approval of a dealer account does not guarantee continuous product supply, permanent pricing or an automatic entitlement to credit. Eligibility to purchase on account is assessed separately and may be subject to dealer-specific conditions.

Article 4 – Dealer Representations and Obligations

When using the website and placing orders, the dealer agrees to comply with the following obligations:

  • Purchase products for its own commercial or professional activities.
  • Ensure that membership and invoicing information is accurate, complete and up to date.
  • Place orders only through persons authorized to act on its behalf.
  • Keep account credentials and login information secure.
  • Notify the seller without undue delay if unauthorized account use or a security issue is identified.
  • Review product descriptions, technical specifications, minimum order quantities and sales conditions before placing an order.
  • Pay order amounts and comply with agreed payment due dates on time.
  • Not use the website for unlawful activities, misleading transactions or purposes that compromise system security.

The dealer should reasonably monitor transactions conducted through its account and take appropriate steps to maintain account security. If unauthorized use is suspected, the seller may take appropriate measures, such as temporarily restricting account functions or requesting additional verification, to investigate the matter.

Such measures shall be implemented in light of the circumstances and applicable law. Rights protected by law remain reserved.

Article 5 – Account Information and Authorized Users

Users accessing a dealer account must be authorized to act on behalf of the dealer. The dealer is responsible for managing the access permissions and authority granted to its users.

Where internal role changes, termination of employment or withdrawal of authorization occur, the dealer should update the relevant access permissions and take the necessary security measures.

The seller may request additional information or verification to protect account security, prevent incorrect transactions or investigate suspicious activity. If there is a reasonable concern regarding a security risk or the accuracy of account information, relevant functions may be temporarily restricted while the necessary checks are carried out.

Article 6 – Product Information, Prices and Stock Availability

Product descriptions, images, product codes, technical specifications, prices and stock information published on the website are intended to assist dealers in making purchasing decisions.

Product characteristics and compatibility should be assessed according to the information stated in the relevant product description. Before ordering, the dealer should verify that the product meets its commercial requirements and the technical requirements of the equipment with which it will be used.

Unless expressly stated otherwise, prices on the website are subject to the commercial conditions displayed during order placement and confirmation. Prices may change according to the product, stock availability, supply costs, tax treatment and other commercial factors.

The listing of a product on the website does not mean that the product is always in stock or available in unlimited quantities. Differences may arise between the updating of stock information and the actual preparation of an order.

If an obvious typographical, system or calculation error is identified in pricing or product information, the seller may investigate the matter and contact the relevant dealer. If such an error affects an order, the appropriate resolution shall be determined according to the order status, the parties' rights and applicable law.

Article 7 – Minimum Order Quantities

Minimum order quantities (MOQs) may apply to certain products. For such products, the minimum purchasable quantity will be stated on the relevant product page or in the information displayed during ordering.

Before completing an order, the dealer should check the minimum order quantity, any required quantity increments and other sales conditions applicable to the product. Orders placed through the system must comply with those conditions.

Product-specific minimum quantities, the combination of different products within one order and any special quantity conditions shall be assessed according to the relevant product descriptions and the order conditions displayed to the dealer.

Article 8 – Placing and Accepting Orders

After signing in to an approved account, the dealer may select products and create an order. Before completing the order, the dealer should check product quantities, unit prices, applicable taxes, shipping charges, the total amount and the selected payment method.

Creating an order on the website or generating an order summary or proforma document does not, in every case, mean that the seller has unconditionally accepted the order. Acceptance is assessed by taking into account product availability, pricing information, payment verification, dealer account status and any dealer-specific sales conditions.

Notifications concerning order acceptance or preparation for dispatch may be provided through the website or other communication channels used by the parties.

If all or part of an order cannot be supplied, a material pricing or stock error is identified, or payment cannot be verified, the seller may inform the dealer and consider an appropriate solution in accordance with applicable law and the stage of the order.

Requests concerning an order that has not yet been accepted may be handled differently from requests to amend or cancel an accepted order. For further details, please review the Cancellation and Return Terms page.

Article 9 – Payment Methods

Purchases through PrintEyes may be paid for using the payment methods made available on the website for the relevant dealer and order. Available options may include:

  • Bank Transfer / EFT: The dealer pays the order amount by bank transfer or EFT using the payment information provided by the seller.
  • Online Card Payment: Where this option is enabled, payment is processed through the online payment infrastructure provided on the website.
  • Pay on Account: This method is available only to dealers authorized to purchase on account, subject to their assigned credit limits and agreed payment terms.

Availability of payment methods may depend on the status of the dealer account, the order amount, the availability of the payment infrastructure and dealer-specific commercial conditions.

Article 10 – Current Account, Credit Limits and Payment Terms

Pay on Account is a commercial payment method available only to dealers to whom the seller has granted this facility. Under this arrangement, a dealer-specific credit limit and payment due date or term may be assigned.

The following principles apply to purchases made on account:

  • Credit limits and payment terms may differ between dealers.
  • An order may be charged to the dealer's account only if the order amount is compatible with the available credit limit and other assigned conditions.
  • The seller records current-account transactions and related collections in its own records.
  • Payments are matched to the relevant orders and current-account records.
  • The dealer may view its current account statement (Cari Ekstre) where this function is available on the website.
  • Overdue balances or insufficient available credit may restrict the placement or approval of new orders using the Pay on Account method.

Current-account limits, due dates and other commercial conditions are determined individually for each dealer and applied in accordance with the conditions communicated to that dealer. Granting access to Pay on Account does not guarantee continuous or unlimited credit.

The seller may review order records, payment records, collection information and current-account statements to verify account balances. If the dealer disputes a balance or transaction entry, the dealer should contact the seller and provide the relevant order and payment information.

[INFO NEEDED: Specify how current-account limits are determined and changed, how orders exceeding the available limit are handled, what action is taken when payments become overdue, and the period within which account statement disputes should be raised.]

[LEGAL CHECK: The current-account arrangement, credit terms, consequences of default, any interest or other financial consequences, and relevant notification procedures should be reviewed against the company's actual practices and applicable law.]

Article 11 – Payment Matching and Current Account Statements

Payments collected through bank transfer, EFT or other payment methods are matched to the relevant order and current-account records. To facilitate accurate matching, dealers are advised to include the order number or other reference information requested by the seller in payment descriptions.

If the payment description is missing or incorrect, the payer's details do not match the order records, or additional information is needed to verify the payment, the matching process may take longer.

The current account statement (Cari Ekstre), where available, enables the dealer to view current-account information recorded in the seller's systems. The dealer should review the statement regularly and report any discrepancies together with the relevant order and payment documents.

The appearance of a payment entry in the system or the display of an account balance does not, by itself, mean that an official tax invoice has been issued under applicable tax legislation.

Article 12 – Pricing, Taxes and Shipping Charges

Product prices, taxes and shipping charges are determined according to the information displayed on the website during ordering. Before confirming an order, the dealer should review the product quantities, unit prices, tax treatment, shipping charges and total amount payable.

Under the general shipping arrangement, free shipping applies to orders of 2,500 TRY and above, while the standard shipping fee for orders below that amount is 250 TRY. The order total used to calculate shipping charges and the applicable VAT treatment are determined according to the conditions displayed during ordering.

If product prices, tax rates or shipping charges change due to legislation or commercial conditions, the amounts applicable to an order shall be determined in light of the order stage and applicable law.

Article 13 – Order Documents and Official Invoices

An order summary, order confirmation or proforma document generated through the website may be used to display order details and commercial conditions. These documents do not, by themselves, constitute official tax invoices.

Official e-Fatura or e-Arşiv invoices are issued separately through the company's accounting process in accordance with applicable tax legislation.

The dealer is responsible for ensuring that invoicing information is accurate and up to date. Any error in the company name, tax identification number, tax office or other invoicing details should be reported to the seller without undue delay.

Invoice issuance, delivery, cancellation or correction procedures are carried out in accordance with applicable tax legislation and the company's accounting processes.

Article 14 – Retention of Title

Any arrangement under which ownership of products remains with the seller until the full purchase price has been paid depends on the terms of the agreement between the parties and the validity requirements under Turkish law.

[LEGAL CHECK: Any retention-of-title clause should be drafted or reviewed by legal counsel, particularly regarding the conditions under which ownership transfers after delivery and the legal validity of such a provision.]

[INFO NEEDED: Confirm whether the company intends to use a retention-of-title provision and, if so, specify the contractual wording to be applied.]

Article 15 – Order Amendments, Cancellations and Returns

Requests concerning order amendments, cancellations, incorrect shipments, missing deliveries and defective products are assessed according to the stage of the order, the condition of the products and applicable law.

Requests to amend or cancel orders that have not been dispatched are reviewed in light of the order's preparation and acceptance status. For orders already dispatched, the transportation process and product condition are also taken into account.

For opened or used toner cartridges, inks, drum units and other consumables, the condition of the product, its packaging, any protective seals and the nature of the reported issue may be relevant.

Detailed rules for these procedures are set out on the Cancellation and Return Terms page published on the website. Nothing in these Terms shall be interpreted as removing statutory rights relating to defective goods or other rights protected by applicable law.

Article 16 – Intellectual Property Rights

Brand names, logos, designs, text, product descriptions, images, software, page layouts and other content on the website may belong to the relevant rights holders and may be protected under applicable intellectual property legislation.

Copying, reproducing, distributing, modifying, commercially using or publishing content belonging to the seller or another rights holder on another website without permission or an applicable legal exception is prohibited.

Use of the website or creation of a dealer account does not grant the dealer ownership or a licence to any trademarks, logos, software or other intellectual property rights. Rights belonging to manufacturers and other third parties in their respective brands and marks remain reserved.

Article 17 – Website Availability and Security

The seller takes reasonable operational and technical measures to support the operation of the website and the processing of orders. However, certain website functions may temporarily become unavailable due to maintenance, software updates, infrastructure problems, communication outages or disruptions affecting third-party services.

The dealer must not engage in activities that may compromise website security or operation. Unauthorized access attempts, damage to systems, installation of malicious software, circumvention of security measures and unlawful use of the website are prohibited.

If suspicious activity, security risks or misuse of the system are identified, the seller may conduct the necessary investigation and implement security measures in accordance with applicable law.

Article 18 – Limitation of Liability

The seller endeavours to keep product information and commercial conditions published on the website as accurate and current as reasonably possible. However, technical errors may occur when product information is updated, stock records are refreshed or third-party services are provided.

The parties' liability shall be determined in accordance with the relevant agreement, the circumstances of the case and applicable law. These Terms shall not be interpreted as removing rights protected by law where liability cannot legally be limited, including circumstances involving wilful misconduct, gross negligence or mandatory legal provisions.

Technical instructions, manufacturer warnings and relevant product descriptions must be followed when using products. The dealer must also consider its obligations and applicable legislation relating to the use or resale of products in its own commercial activities.

[LEGAL CHECK: Provisions concerning limitations of liability, indirect losses, third-party services and product compatibility should be reviewed by legal counsel in light of the company's sales model and applicable law.]

Article 19 – Force Majeure

Natural disasters, earthquakes, fires, floods, war, terrorist incidents, epidemics, decisions of public authorities, widespread infrastructure or communication outages, serious transportation disruptions and similar events beyond the reasonable control of the parties may affect order preparation, dispatch or the performance of other contractual obligations.

If such circumstances arise, the parties' rights and obligations shall be assessed in light of the nature and impact of the event and applicable law. The affected party should inform the other party of the situation to the extent reasonably practicable.

Force majeure provisions shall not be interpreted as eliminating obligations that continue to apply by law or rights protected under mandatory legislation.

Article 20 – Personal Data Protection and Privacy

Personal data processed during the use of the website and management of dealer accounts shall be handled in accordance with applicable personal data protection legislation.

For detailed information concerning the data controller, processing purposes, legal grounds, transfers, retention periods and data subject rights, please review the Privacy, Security and KVKK Policy.

The dealer must comply with its own legal obligations concerning the processing of personal data submitted through the website and the sharing of information relating to its employees or representatives.

Article 21 – Electronic Commerce and Communications

Ordering, informational and commercial communication activities conducted through the website are carried out in accordance with applicable law.

Operational notifications concerning order status, payments, delivery, current-account records and account security may be sent to the dealer to the extent necessary for the relevant transaction or service.

Commercial electronic messages sent for promotional or marketing purposes are subject to the requirements and consent procedures prescribed by applicable law.

Article 22 – Amendments to These Terms

Eko Kartuş ve Bilişim Sanayi Ticaret Limited Şirketi may amend these Terms in response to legislative changes, commercial requirements, changes to the product range and updates to website functionality.

When updated Terms are published on the website, their effective date and applicability shall be determined in accordance with the provisions stated in the updated text and applicable law.

Amendments shall not be interpreted as producing retroactive effects on existing orders or previously concluded agreements in a manner contrary to applicable law. Dealers are advised to review the current Terms before placing new orders.

[INFO NEEDED: Specify the effective date of the Terms, how previous versions will be retained and how updates will be communicated in relation to existing dealer agreements.]

Article 23 – Governing Law and Dispute Resolution

These Terms and commercial transactions conducted through the website shall be assessed in accordance with the laws of the Republic of Türkiye.

Disputes between the seller and a dealer shall be resolved in accordance with applicable jurisdiction rules, legally valid agreements between the parties and mandatory legal provisions. To the extent legally valid, Istanbul Courts and Enforcement Directorates may have jurisdiction.

If a dispute arises, the parties are encouraged to review the matter using the relevant order records, payment documents, invoices and correspondence. This approach does not restrict either party's statutory rights to pursue available legal remedies.

[LEGAL CHECK: The validity of the jurisdiction clause should be reviewed in light of the Turkish Commercial Code provisions governing jurisdiction agreements between merchants and the applicable procedural law.]

Article 24 – Contact

For questions concerning these Terms, dealer accounts, orders, payment transactions or use of the website, the following contact details may be used:

Including the dealer account or order number in a request will help the company review the matter more efficiently.

Article 25 – Final Provisions

These Terms and Policies are intended to explain the general rules governing use of the website and the general commercial conditions applicable to dealer sales relationships. Order-specific agreements, dealer-specific pricing and current-account conditions, and applicable legislation shall also be taken into account.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall not automatically become invalid. However, this principle shall not be applied in a manner that produces a result contrary to mandatory legal provisions.

Any uncertainty concerning the interpretation of a provision shall be assessed in light of applicable law, valid agreements between the parties and the circumstances of the particular case.
